For this document, "South Bay Shopping Guide," or "Shopping Guide," refers to the internet entity that will serve as the shopping portal for businesses in the South Bay of Los Angeles, displaying, as results of online search engine queries, links to, and when selected by visitors, online presentations.

Furthermore, "ad" or "online presentation," refers to the advertisement, designed, produced and deemed appropriate by the creators of the, "Shopping Guide," from material provided by the advertiser, as well as digital photography that will be shot free of charge by the, Shopping Guide's Representative at the time the ad is contracted, for display on the internet service, "www.SouthBayShoppingGuide.com."

Disclaimer:
The South Bay Shopping Guide has no control over what is displayed on any website outside of "www.SouthBayShoppingGuide.com." The rule that is applied for the Shopping Guide is "any business that could appear in an ordinary telephone directory may obtain display space on the Shopping Guide." If vastly differing material exist between Shopping Guide ads and websites that are linked to from the Shopping Guide, links deemed inappropriate may be broken without notice and without refund of any kind, permanently or until which time the Shopping Guide deems it appropriate to reestablish any broken links.

Submission of materials for SouthBayShoppingGuide.com may be made using any one of the following avenues;

C. arrangements may be made for the pick up of materials by a Representative. Please submit a voice mail message at: 310.318.6010 and a Representative will respond.

Payment for inclusion on SouthBayShoppingGuide.com is made in a single installment and submitted with ad materials at the contraction of service. Progress on construction of an online presentation will not commence until all materials and full payment are received. All checks are made payable to Many Moore Designs. All sales are final. When submitting text via e-mail please copy the text from your document and paste the text directly into an e-mail message window. Please DO NOT attach any documents to e-mails addressed to the Shopping Guide. They will be deleted. When submitting text on computer disk please use the following formats, (IBM: Word documents or Macintosh: Simple Text documents). Thank you. All electronic images should be delivered to the Shopping Guide in the form of a JPEG file (compressed at a setting of "10"). Any advertising material provided by an advertiser will be construed to be the personal property of the advertiser or acquired under the proper licensing agreements for use by the advertiser. In good faith, SouthBayShoppingGuide.com and Many Moore Designs bears no responsibility for determining the usage rights of any material presented for advertising. When accumulating images and information for your online presentation remember that the space provided on the Shopping Guide is limited to 750 kilabytes. Use of JPEG compression for images and taking into account the small amount of space that is consumed by a large amount of text, 750 kilabytes is actually quite a bit of display area.

TERMS FOR SOUTH BAY SHOPPING GUIDE ONLINE PRESENTATIONS:

1. Company Logo:
The first thing you will want to put in your online presentation is your company logo. If scanning is to be done we'll need to get a high quality copy of your logo. Attempting to scan your logo, black and white or color, from a printed copy will not look so great. High resolution outputs, "camera ready art," are the best source material to work from. If you need your high quality copy back, let us know. If your logo is black and white, and you would like to have it colorized please indicate what single color you would like it made. If you desire, include a color sample so we can match the color as close as possible. If we can retrieve a copy of your logo online we would prefer that method first.

2. Descriptive Information:
Here is where you tell your company's story. Let shoppers know about your business. Include information about your company that will set it apart from your competition; i.e. company origin, specialities, history, testimonials, awards, affiliations, goals, location, etc. Major search engines respond well to text.

3. Special Photographs:
In your online presentation you will want to include any unique images that you may already have. Something that you would include in a print presentation about your business. Remember, these are images that you own or have rights to. We can scan photo prints, like what you get when you shoot a roll of film with your own camera. If you have these images digitally you may e-mail them to us. Keep in mind, you will want to give us the best quality pictures you can. There is only so much we can do when we scan an image. And remember the space available.

4. Digital Photography:
We will take digital pictures at your business location FREE of charge during the material collection phase of this process. Which is in the week following your signing up for ad space on the Shopping Guide. We ask that if you would like to have digital photography done that you be prepared for the photo shoot so we can use our time efficiently. Remember that the space provided on the Shopping Guide is limited to 750 kilabytes, so to have more than just a couple of images you will want the pictures to be of the 2" x 3" variety. Specific, close up shots of an item or broad overview type images make the best illustrations.

5. Numbers:
When assembling your material for your ad you will want to include a list of numbers for your potential customers. This information should include: web address, physical address, e-mail address, phone and fax numbers (in order of importance), business hours, (if desired), etc. If you want to offer an, "E-coupon," (a coupon that a shopper can print out from their computer and bring to you for a special offer), you will want to include the terms and conditions for the offer. We will put together your E-coupon at no additional charge. Remember that this would likely be an offer that would run for the entire year.

6. Search Engine Keywords:
Each ad placement is allowed 25 keywords. These are the words that shoppers will use to find your business. These words should identify your business as purveying particular stock and even product from particular manufactures. Using the exclusive Shopping Guide search engine a shopper might find an athletic store by searching with the words, "tennis shoes." Or by running a search with the word, "nike," a manufacturer of sport shoes. If the merchant identifies themselves with these words a link to their ad would appear in the search results for that query. Phrases may be included. For a shopper to locate a merchant by phrase, the wording of the phrase in the shopper's search would have to be word for word the same as the way the merchant described themselves in the keywords. An example might be a tile store who's slogan is, "best in the west tiles." If the slogan is something that the tile store thinks people will remember them by, they might include the slogan in their keywords. Again the searcher would have to type in the slogan word for word the same. Phrases count as a single keyword. Additional keywords, more than the 25 that come as part of the ad, may be purchased at the rate of $1 per keyword, per year. The name of the business in reasonable variations, city in which the business is located and shopping district or mall associated with the business are included but not counted as part of the 25 keyword allowance. Delivering the list of search engine keywords to the Shopping Guide via e-mail is a great idea and helpful for transcribing the information without a hitch. Please DO NOT e-mail attached documents. Copy then paste the text into an e-mail message window. ALL ATTACHED DOCUMENT FILES WILL BE DELETED.

CONDITIONS AND SERVICES FOR SOUTH BAY SHOPPING GUIDE ONLINE PRESENTATIONS:

7. Production Schedule:
Once all the material and the full payment for your online presentation are collected, production of your ad is started. Within 10 working days, we will make your ad and place it on a hidden page on the internet for your approval. We will phone or e-mail you with the internet address where you will be able to review your ad. It is your responsibility to indicate to the Shopping Guide any corrections that need to be made to your ad. Without such response the ad will be considered correct and within seven days after the advertiser was first notified as to the ad's completion, the online presentation will be added to the Shopping Guide. You have to keep in mind that these corrections are different from revisions. A correction is fixing misspelled words or rearranging captions on pictures. Adding text and images is a revision and there are production costs associated with making revisions. So you'll want to consider what you put in your online presentation from the start. In such cases that corrections are needed work will be performed in a timely manner. Once the advertiser approves an online presentation the placement will be added to the Shopping Guide within a seven day period, and possibly as quickly as one or two days. Upon the adding of the presentation to the Shopping Guide the one year contract will commence.

8. Making changes to your online presentation:
Changes can be made to online presentations. This is accompanied by production fees. Changes of typos that may have been overlooked at the time of proofing are FREE of charge, and will not alter the timetable of the contract. The addition of text and photos to online presentations are made in quarter hour increments at a rate of $12.50 per quarter hour. One half hour is the minimum time allowed to make these changes. Additional digital photography will be billed at the same rates and separately from the production of the changes. The addition of search engine keywords is a flat $10 plus $1 per keyword for the remainder of the yearly contract. All photography and production fees are estimated and due before any work is started.

9. Promote your online presentation as a stand alone website:
You can promote your online presentation as your own website. A single keyword unique to your placement will help your shoppers find you specifically. Advertising with the statement "South Bay Shopping Guide.com keyword: 'my store,'" is approved. First come first served for unique keywords. To promote the Shopping Guide a link will appear on every online presentation that will connect the visitor to www.SouthBayShoppingGuide.com. Remember, (section 8), that the expense of updating your online presentation is a lot more than if you yourself were to update your own website. Online presentations will not be accessible by anyone other than the Shopping Guide Representatives.

10. If you want your own website:
If you would like, parent company to South Bay Shopping Guide.com , Many Moore Designs, will secure a domain name, (i.e. "www.toomuchfun.com"), if it is available, and in your name, at the rate of $15 per year, per name, (one year minimum, renewal being the client's responsibility). We will also construct and arrange for the hosting of your site if you so desire. There is a $50 set-up fee for each domain name purchased. We work with a web based hosting company with rates for hosting that begin at $8.95 a month, (set up in your name, monthly fee is the client's responsibility). The cost of constructing a website, including: meetings, design, scanning of material, photo manipulation, digital photography and computer coding and testing begins at $500, (representing 5 hours of work). A short phone consultation is available and is FREE of charge. All services will be performed only after estimates to the client have been approved in writing. All work is commenced with a 50% deposit with balance due at the time of completion as per authorization. We will also instruct you as to the techniques of updating your own site. This will include simple HTML coding and the process of transferring, "ftp-ing," images and pages to the website server which is also known as "uploading." This will save you the otherwise billable services for the production and updating of your site. These rates are $25 per quarter hour with a half hour minimum. Web maintenance instruction is $100 per hour with a two hour minimum, and subject to scheduling. You will need ftp software.

11. Our Goal:
Our goal is to help shoppers across the South Bay find merchants who identify themselves as purveying particular items or products by specific manufactures. We will promote our service and World Wide Web presence to the general public through local outlets as sales and budget allows. In addition, we will provide window stickers to participating merchants to identify their business as accessible on the internet at: www.SouthBayShoppingGuide.com. We want people to find you.

12. Credits:
In the opening window of each online presentation an e-mail link to "Comments@SouthBayShoppingGuide.com" will be displayed. This is to solicit comments from the shoppers in an attempt to better the service of the Shopping Guide. Also appearing will be a Many Moore Designs copyright notice which will link, in a second window, to an MMD online presentation. Information identifying Many Moore Designs as the designers and creators of South Bay Shopping Guide.com will appear at the very bottom of every page on the Shopping Guide.
